RMG Messtechnik GmbH (RMG) - Our Principles of Conduct

Given a demanding, complex, fast-moving, and increasingly globalized business world, we often face difficult decisions in our day-to-day business.

Our principles of conduct provide clear guidelines for our business conduct as well as the basic rules and principles that govern our behavior now and in the future. It applies to all employees of RMG Messtechnik GmbH, and we expect our suppliers and partners to conduct their business in accordance with the same principles.

1. Scope

Employees of RMG Messtechnik GmbH
Our principles of conduct include the central principles and values for the employees of RMG Messtechnik GmbH, i.e. the management teams and employees of RMG Messtechnik GmbH in their daily business. They are binding for all employees of RMG Messtechnik GmbH, the management, and all representatives of RMG Messtechnik GmbH. In accordance with their role, all managers must lead by exemplary behavior, demonstrate integrity in their daily business conduct and inform, instruct, and train the employees they lead regarding the core values of the company in accordance with the principles of conduct and provide them with appropriate orientation.

The Managing Director is responsible for implementing the principles of conduct and ensure employees of this organization comply with them. RMG Messtechnik GmbH will inform its business partners of these principles of conduct.


2. Values and Principles

Like many successful global companies, we strive to provide our customers with excellent products and services. Our people are the heart of our company, and we believe that shared values are essential to what helps us stand out from our competitors.

Our values provide the cornerstones of how we achieve this. They guide us in everything we do – from important business decisions to the behavior of our employees in their daily activities.

Integrity – we have open and honest conversations and develop trust.

Willingness to perform – all our employees strive to provide excellent service for our customers, develop innovative solutions and continually develop themselves further.

Reliability – we are a reliable partner in all business practices.

Respect – we show appreciation to our employees and everyone we interact with and treat them fairly and respectfully.

The following principles apply to all employees of RMG Messtechnik GmbH, and we expect our suppliers to also adhere to these principles.

2.1 Ethics

2.1.1 Compliance with laws

We always expect full compliance with all laws, rules, and regulations (e.g. customs regulations) applicable to our company. We do not tolerate any unlawful business practices. Any violation may have serious personal consequences, including, but not limited to, termination of employment.

2.1.2 Business integrity

Our business interactions are based on the highest standards of integrity. Any form of bribery, corruption, extortion, and breach of trust (concealing, promising, offering, giving or accepting bribes) will not be tolerated.

2.1.3 Accurate financial accounting

We view accurate and truthful accounting and documentation as the basis for open and effective collaboration with stakeholders and business partners. All business transactions are recorded completely, accurately, and appropriately, upholding any time and system requirements pursuant to applicable accounting standards and corporate policies, guidelines, and manuals. Our documents and files are complete, orderly, and easily understandable. The documents are retained for as long as required by applicable laws (e.g. HGB) and internal regulations.

2.1.4 No improper advantage

We do not offer or grant, directly or indirectly, any inappropriate personal benefits (e.g. gifts) to anyone in connection with business matters. This applies even if the benefit does not have an influence on a business decision. The only exceptions to this are gifts of low value and of a symbolic nature (no cash payments or equivalents) as well as business entertainment and invitations to events within the normal and legally allowed customs. We never solicit any personal benefit.

Employees who are uncertain whether to accept or grant a particular kind of benefit should contact their line manager or the managing director.

RMG Messtechnik GmbH works with sales companies, subcontractors, and consultants in sales and for other purposes. Commissions and fees paid to these parties must be adequate for services performed. Donations to political organizations or individuals in a monetary form, material assets or services as well as sponsorship of and donations to non-political parties require the prior approval of the management in charge. They must not be used to circumvent other regulations in the principles of conduct.

2.1.5 Compliance with commercial law

We act in accordance with all commercial laws and regulations that apply to our business operations. We procure and transfer goods, technologies, services, or information and only carry out capital and payment transactions domestically and across national borders if this does not violate any of the various applicable national and international trade restrictions. It is a practice and necessity to assess the nature of the goods, the country of their origin or enduse and the identity of the customer/business partner.

2.1.6 Fair business conduct, fair advertising and fair competition

We act as an honest, trustworthy, and reliable partner in all business activities including advertising. We acquire new business exclusively based on the advantages of the products and services of RMG Messtechnik GmbH. We promote and abide by the principles of fair competition in relation to customers, suppliers, and competitors. Agreements with competitors and arrangements which may limit competition are prohibited, as is the exchange of confidential information on prices, customers, or supplier relationships.

2.1.7 Separation of company interests and personal interests

A conflict of interest always arises when an employee's private interests collide with the interests of the company. This is the case, for example, in a situation where the advantage of information gained through the employment relationship with the company is used to the personal advantage or to the detriment of the company. When conducting its business, RMG Messtechnik GmbH relies on the loyalty of its employees. Situations that could potentially trigger a conflict of interest should be avoided. These rules cannot be circumvented by acting through a friend, family member or any other person. Employees who find themselves exposed to a conflict of interest or who are unsure whether such a conflict exists are encouraged to contact the managing director.

2.1.8 Protection of assets and data

Unless otherwise permitted, Company resources may only be used for company purposes. RMG’s property and any of its business partners’ property must be handled in a responsible manner and protected against damage, loss, and misuse. Intellectual property must be protected against attacks, loss, or infringement. Employee activities at work or at home or any other place must not hurt RMG’s reputation or any of its business partners’ reputation. Any company information which is not in the public domain must be kept confidential and may only be disclosed to colleagues on a need-to-know basis. It may not be disclosed to third parties without prior written permission from the supervisor in charge. These principles apply even beyond the termination of employment with RMG.

As for personal information, RMG protects the reasonable privacy expectations of our employees and everyone we do business with, including suppliers, customers, and institutions. We comply with privacy and information security laws and regulatory requirements when collecting, storing, processing, transmitting, and sharing personal information.

2.2 Employees

We value our employees, treat them fairly and respectfully, ensure a safe working environment and offer them opportunities to develop personally and professionally. We are committed to respecting our employees’ fundamental rights and to ensure as much as possible a permanent employment relationship in accordance with national laws and practices. We respect our obligations in accordance with labor law and social security laws as well as the obligations arising from a permanent employment relationship. We are guided by the following principles:

2.2.1 Voluntary entry into the employment relationship

We have neither forced labor nor involuntary employment relationships. We will never dobusiness with third parties involved in human trafficking or other forms of forced labor.

2.2.2 No Discrimination

We ensure fair and equal treatment to create a culture characterized by respect, tolerance, and diversity. We respect the dignity, privacy, and personal rights of every individual and work together respectfully with all colleagues regardless of their gender, race, color, nationality, religion, age, disability, sexual orientation, or other personal characteristics. We do not tolerate discrimination or harassment of any kind.

2.2.3 No child labor

We do not employ minors under the age of 15 - even if the local law allows it - and we comply with the Youth Employment Protection Act.

2.2.4 Freedom of association

We respect the rights of our employees to join or refrain from joining associations of their choice (e.g. works councils and trade unions) unless otherwise prohibited by law, and we make no distinctions against an employee or in favor of an employee when he has joined associations.

2.2.5 Reasonable working hours

The number of hours worked may not exceed the maximum working time permitted by applicable law.

2.2.6 Fair wages and social benefits

Employees are entitled to at least the statutory minimum wage and the prescribed social benefits.

2.3 Health and safety

We work in a safe and healthy working environment and comply with or integrate relevant laws and regulations into our business processes. We strive for further development of products and processes to constantly improve our high safety standards.

2.4 Environment

We conduct our business operations in a manner that protects and sustains the environment in accordance with applicable laws and regulations.

RMG Messtechnik GmbH strives to conserve resources and continuously attempts to avoid, reduce, and recycle waste as well as to identify environmentally preferable material substitutes or alternatives for its operations. Our aim is to develop and manufacture products that are safe, energy efficient and minimize impact to the environment throughout their product life cycle. Furthermore, we want to encourage an open dialogue with all relevant stakeholders about the impact of its operations and business decisions on the environment.

RMG Messtechnik GmbH constantly reviews its production processes and, where possible, improves the consumption of materials and energy as well as emissions and waste generation.

Furthermore, RMG gives preference to in-process waste reduction methods over end-of process treatment or disposal.

RMG Messtechnik GmbH strives to reduce emissions into the air, such as: greenhouse gases or noise, and water domains, wherever possible and feasible. RMG wants to ensure that unavoidable emissions do not have any harmful effects on people or the environment at the company premises, in the immediate vicinity or in the region.

The evaluation of acute and permanent environmental effects, exemplary includes, where appropriate, the consideration of:

  • Controlled and uncontrolled emissions of substances and energy into the ground, water, and atmosphere
  • Generation and disposal of solid and other waste materials
  • Use/consumption of land, water, fuels, and energy as well as other raw material sources
  • Noise, odors, dust, and vibrations

RMG Messtechnik GmbH ensures environmentally friendly operations and systems as well as overall operational safety through proper maintenance, regular inspections, and continuous monitoring. During the planning, installation and operation of all technical systems and devices, safety regulations must be adhered to in order to avoid hazards and minimize risks to the greatest possible extent, while taking the impact on the environment into account.
